  1. What is EADS?
    EADS stands for the European Aeronautic Defence and Space company. The company was created in July 2000 by merging Aerospatiale Matra of France, DASA of Germany (excluding the MTU engine business) and CASA of Spain.
  2. What nationality is EADS?
    EADS is registered in the Netherlands.
    Why ?
    Given the international nature of the merger - and the lack of any uniform regulations concerning an operation of this type - the founders had to establish the new company in a neutral European Union country, that would offer the flexibility needed to account for the specific characteristics of the constituent businesses and management of the new group. These conditions led to the choice of the Netherlands.
    Dutch law enabled us to ensure that measures concerning the protection of minority shareholders, comparable to those in French stock exchange laws, could be incorporated in the EADS bylaws.
    (In particular, the Netherlands has signed a broad array of fiscal agreements, which stipulate that the withholding tax on dividends paid by a Dutch company are covered by a tax credit in the beneficiary's country of residence).

Shares

  1. Where is EADS listed?
    EADS shares are traded since July 10, 2000:
    1. on the Paris stock exchange "premier marché",;
    2. on the Frankfurt stock exchange;
    3. and on the stock exchanges in Madrid, Bilbao, Barcelona and Valencia
  2. Because the share is listed on different exchanges, are there several different stock prices and trading volumes?
    Yes. However, this allows shareholders to choose the market where they want to buy or sell shares. The price of the share listed in Euros is not very different between the three exchanges, though, due to cross-market buying and selling.
    Since the listing of EADS, most transactions are carried out on the Paris Bourse, which is now the lead market for the EADS share.
  3. Where can one buy EADS shares?
    On any of the stock exchanges where EADS is listed Paris (Euronext), Frankfurt, Madrid, through a intermediary (your bank, broker, web broker).

  8. Will dividends paid by EADS be subject to withholding tax ?

    Because EADS is registered as a Dutch company, the dividend will be subject to a withholding tax levied at source by The Netherlands at a statutory rate of 25 %. However this rate can be lowered to 15% according to your national law. Ask your financial broker about the appropriate procedure to follow.

Annual General Meetings

  1. Where does the EADS annual general meeting take place?
    The AGM takes place in the Netherlands, as EADS is registered as dutch company
  2. How to participate in it?
    It is necessary to hold at least one share, then you will receive the AGM set (Information Notice and voting form) from your financial broker where you deposit the shares.
  3. I cannot attend the AGM. How can I participate in the voting?
    You have the possibility to grant a power of attorney either to the Chairmen, or to a designated person by filling in your voting form.
